1. Acceptance of these Terms

By accessing or using atyeon.com, the Business Performance Assessment, consultation-request forms, scheduling experiences, or other public website features, you agree to these Terms of Use. If you do not agree, do not use the site.

2. About the website

Atyeon Consulting LLC ("Atyeon," "we," "us," or "our") provides information about operations and performance-improvement consulting, educational content, a directional Business Performance Assessment, and ways to request or schedule a business conversation.

3. General information only

Website content is provided for general informational and educational purposes. It is not legal, financial, tax, accounting, investment, medical, or other regulated professional advice, and it should not be relied upon as a substitute for advice tailored to your circumstances.

Nothing on the site creates a consultant-client, fiduciary, employment, partnership, joint-venture, or other professional relationship between you and Atyeon.

4. Business Performance Assessment

The Business Performance Assessment is a directional self-assessment based on limited, self-reported responses. It is designed to support reflection and identify areas that may merit deeper examination. It is not a formal consulting diagnosis, audit, assurance engagement, valuation, certification, or guarantee of business condition or performance.

Assessment results may be incomplete or inaccurate if submitted information is incomplete, inaccurate, or does not reflect actual operating conditions. A scoped consulting engagement would require additional evidence, context, and analysis.

5. No guaranteed outcomes

Atyeon does not guarantee revenue growth, cost savings, profitability, operational improvement, customer outcomes, employee outcomes, financing, valuation, regulatory results, or any other business result from use of the website, assessment, consultation, or general information.

6. Consultation requests and scheduling

Submitting a consultation request or booking a conversation does not obligate Atyeon to accept an engagement and does not create a consulting relationship. We may decline, reschedule, or cancel a conversation when reasonably necessary. Any consulting services will begin only under a separate written agreement accepted by the relevant parties.

7. Acceptable use

You agree not to:

• use the site for unlawful, fraudulent, abusive, or harmful purposes;
• attempt to gain unauthorized access to systems, accounts, data, or security controls;
• interfere with, overload, scrape, reverse engineer, or disrupt the site except as permitted by law;
• misrepresent your identity or affiliation;
• submit malicious code or material that infringes another person's rights; or
• use public forms to transmit protected health information, payment-card data, passwords, government identifiers, confidential business records, or other sensitive information that Atyeon has not asked you to provide.

8. Intellectual property

The site and its original content, branding, layouts, assessment structure, written materials, methodology descriptions, graphics, and other materials are owned by Atyeon Consulting LLC or used under license and are protected by applicable intellectual-property laws. You may use the site for your own internal informational purposes, but you may not reproduce, publish, distribute, sell, license, or create derivative commercial works from Atyeon materials without prior written permission, except where the law permits otherwise.

9. Third-party services and links

The site may use or link to third-party services, including scheduling, email, analytics, hosting, and infrastructure providers. Third-party services are governed by their own terms and privacy practices. Atyeon is not responsible for third-party content, availability, security, or practices that are outside our reasonable control.

10. Disclaimer of warranties

To the fullest extent permitted by law, the site, assessment, content, and public digital experiences are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or uninterrupted operation.

11. Limitation of liability

To the fullest extent permitted by law, Atyeon Consulting LLC and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business opportunities, or goodwill arising from or related to use of the public website, assessment, or general information.

To the fullest extent permitted by law, Atyeon's aggregate liability arising from or related to use of the public website or assessment will not exceed the greater of one hundred U.S. dollars (US $100) or the amount you paid Atyeon specifically for the website feature giving rise to the claim during the twelve months before the claim. This limitation does not apply where applicable law does not permit it.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Atyeon Consulting LLC and its owners, officers, employees, contractors, and agents from claims, damages, liabilities, costs, and reasonable expenses arising from your unlawful use of the site, your violation of these Terms, or your infringement of another person's rights.

13. Suspension or termination

We may restrict or terminate access to the site or particular features when reasonably necessary to protect the site, users, Atyeon, or third parties, or when we believe these Terms have been violated.

14. Governing law and disputes

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law rules. Subject to any rights that cannot lawfully be waived, disputes arising from these Terms or use of the site will be brought in a state or federal court of competent jurisdiction located in Maryland, and each party consents to personal jurisdiction and venue there.

15. Changes to the site or Terms

We may modify, suspend, or discontinue website features and may update these Terms from time to time. The effective date above will be updated when revised Terms are posted. Continued use of the site after an update constitutes acceptance of the revised Terms to the extent permitted by law.

16. Severability and waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. A failure to enforce a provision is not a waiver of the right to do so later.
